Partnership Definitive Agreement

✓ Fully executed · Signed April 1, 2026This Partnership Definitive Agreement (the “Agreement”) is entered into as of April 1, 2026 by and between Trucker Path, Inc. (“Company”) and Acme Fuel Solutions LLC (“Partner”).
1. REFERRAL PROGRAM
1.1 Partner is enrolled in the Trucker Path Referral Partner Program at the Silver tier. Partner shall receive a unique referral identifier from Company for use in directing prospective customers to NavPro.
1.2 A referred customer (“Referred Customer”) is any prospective customer who signs up for a paid NavPro subscription within 60 days of clicking Partner’s referral link or providing Partner’s referral identifier at signup.
3. COMPENSATION
3.1 Company shall pay Partner 15% of net subscription revenue collected from each Referred Customer for the duration of that Referred Customer’s active paid subscription.
3.2 Payouts shall be issued monthly via Stripe Connect, subject to a minimum payout threshold of $50. Earnings below the threshold roll forward to subsequent periods.
3.3 If a Referred Customer cancels, refunds, or otherwise ceases their paid subscription within 60 days of initial signup, the corresponding commission shall be deducted from Partner’s next payout.
5. TERM & TERMINATION
5.1 This Agreement shall remain in effect for an initial term of 12 months and shall automatically renew for additional twelve (12) month periods unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the then-current term.
